Terms of Service

1. Acceptance of Terms

By starting a free trial, creating an account, subscribing to a paid plan, or otherwise accessing or using Estimator Advantage (the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (the "Terms"). Starting a free trial or subscription requires you to check the "I accept the Terms of Service" box — clicking accept constitutes your legally binding agreement to these Terms. If you do not agree, do not use the Service. If you accept on behalf of a company or shop, you represent that you are authorized to bind that entity.

2. The Service

Estimator Advantage provides estimate-conversion software for the collision repair industry, including PDF estimate scanning, parts price conversion and sourcing, missing-line detection, analytics, and related features, delivered as a hosted online application. We may modify, update, or discontinue features at any time with reasonable notice for material changes.

3. Accounts and Eligibility

  • You must provide accurate registration information and keep your login credentials confidential. You are responsible for all activity under your account.
  • Each subscription is licensed for the specific shop location and seat count of the selected plan.
  • You must be at least 18 years old, or the age of majority in your jurisdiction, to subscribe.

4. Free Trial, Subscriptions, and Billing

  • Free trial: New subscriptions include a 7-day free trial. A valid payment card is required to start the trial. Your card will be billed the then-current plan rate beginning on day 8. Cancel at any time during the trial and you will pay nothing.
  • Recurring billing: After any trial, your plan renews automatically each month at the current rate until cancelled. Fees are non-refundable except as required by law.
  • Cancellation: You may cancel at any time; cancellation takes effect at the end of the current billing period. You retain access until then.
  • Payment processing: Payments are processed securely by Stripe, Inc. By subscribing you also agree to Stripe's terms. We never store full card numbers on our systems.
  • Price changes: We may change plan prices with at least 30 days' notice; changes apply from your next renewal.

5. Your Data — Authorization Required

You represent and warrant that you have all necessary access, rights, and authorization to upload, process, store, and export every estimate, file, and piece of data you submit to the Service — including customer information, insurer data, and third-party estimate files in your possession. You shall not upload data you are not lawfully entitled to use, nor use the Service to infringe any person's privacy, contractual, or intellectual-property rights. You are solely responsible for the legality and accuracy of data you provide.

6. Data Storage and Loss — Disclaimer

We are not responsible for data loss, corruption, deletion, storage failure, or the integrity of any data within the system. While we take reasonable measures to operate reliably, you acknowledge that:

  • You are solely responsible for maintaining independent backups of all estimates, exports, and business records you care about.
  • We do not guarantee continuous, uninterrupted, or error-free operation, nor any particular retention period after account closure or termination.
  • Following termination or prolonged inactivity, stored data may be permanently deleted.

7. Acceptable Use

You agree not to: (a) violate any law; (b) attempt to gain unauthorized access to the Service or other users' data; (c) reverse-engineer, copy, or resell the Service; (d) upload malware or interfere with the Service's operation; or (e) use the Service to process data in violation of Section 5. We may suspend or terminate accounts that violate these Terms.

8. Intellectual Property

The Service, including its software, design, and content (excluding your data), is owned by us or our licensors and protected by intellectual property laws. Your subscription grants a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes. All third-party trademarks (including estimating-platform marks) belong to their respective owners.

9. Third-Party Services

The Service interoperates with third-party platforms (estimating systems, parts vendors, Stripe). We are not responsible for the availability, accuracy, or conduct of third parties.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that conversions, prices, or audit findings are error-free or suitable for any particular transaction; you remain responsible for reviewing outputs before use.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE — INCLUDING ANY DATA LOSS DESCRIBED IN SECTION 6. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your data, your use of the Service, or your violation of these Terms — including any claim that you lacked authorization for data you submitted under Section 5.

13. Termination

We may suspend or terminate your access for violation of these Terms, non-payment, or unlawful activity. You may cancel at any time as described in Section 4. Sections 5–12 survive termination.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted with a revised date; continued use after changes take effect constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the State of [State], without regard to conflict-of-law principles. Disputes shall be resolved in the state or federal courts located in [County, State].
